1. Acceptance of Terms

By accessing or using the website ghkeyla.mom (the Site) and the computer systems design and related services (the Services) provided by GHKEYLA THERAPIST LLC, a Florida limited liability company (the Company, we, us, or our), you agree to be bound by these Terms of Service (the Terms). If you do not agree to all of these Terms, you must not access the Site or use the Services.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and the Company. You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

GHKEYLA THERAPIST LLC provides computer systems design and related services, including but not limited to:

  • Custom systems architecture design and implementation.
  • Cloud infrastructure planning, migration, and management.
  • Network design, deployment, and ongoing optimization.
  • Regulatory compliance consulting for technology systems.
  • Managed IT services including monitoring, support, and maintenance.
  • Technology consulting and strategic advisory services.

All Services are provided subject to the specific scope, timeline, and deliverables outlined in a separate written agreement, statement of work, or service proposal executed between you and the Company. In the event of any conflict between these Terms and a separately executed agreement, the terms of that agreement shall control.

3. Intellectual Property Rights

Unless otherwise agreed in writing, the Company retains all right, title, and interest in and to:

  • The Site, including its design, layout, code, graphics, and content.
  • All proprietary tools, frameworks, libraries, methodologies, and know-how developed or used by the Company in the course of providing the Services.
  • Pre-existing intellectual property owned by the Company prior to any engagement.

Upon full payment for custom work, the Company shall assign to you ownership of the custom deliverables specified in your statement of work, excluding any pre-existing Company IP, third-party components, or open-source materials incorporated therein. You grant the Company a non-exclusive, royalty-free license to use such deliverables for portfolio and reference purposes unless otherwise agreed in writing.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without our prior written consent. The trademarks, logos, and service marks displayed on the Site are the property of the Company or their respective owners.

4. User Obligations and Acceptable Use

By using the Site and Services, you agree that you will not:

  • Use the Site or Services for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Transmit any material that is defamatory, obscene, harassing, or otherwise objectionable.
  • Attempt to gain unauthorized access to our systems, servers, or networks.
  • Interfere with or disrupt the integrity or performance of the Site or Services.
  • Upload or transmit viruses, malware, or any malicious code.
  • Use any automated means (bots, scrapers, crawlers) to access the Site without permission.

6. Limitation of Liability

To the fullest extent permitted by applicable law, GHKEYLA THERAPIST LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Site or Services.
  • Any unauthorized access to or use of our servers or any personal information stored therein.
  • Any errors or omissions in the content or deliverables provided.
  • Any interruption or cessation of transmission to or from the Site.

In no event shall the Company's aggregate liability for all claims relating to the Site or Services exceed the total amount paid by you to the Company for the specific service giving rise to the claim during the twelve (12) months preceding the event. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

7. Disclaimer of Warranties

The Site and Services are provided on an as is and as available basis, without warranties of any kind, either express or implied. The Company disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and those arising from course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from the use of the Services will be accurate, reliable, or meet your expectations.

8. Indemnification

You agree to defend, indemnify, and hold harmless GHKEYLA THERAPIST LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of and access to the Site and Services.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including intellectual property or privacy rights.
  • Any claim that content you provided caused damage to a third party.

9. Termination

We reserve the right to terminate or suspend your access to the Site and Services, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site and Services will immediately cease.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, disclaimer of warranties, indemnification, and governing law.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction in such courts.

Before initiating formal legal proceedings, you agree to first contact us at service@ghkeyla.mom and attempt to resolve the dispute informally. If the dispute is not resolved within sixty (60) days, either party may proceed with formal action.

11. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated by posting the updated Terms on this page with a revised Last updated date. Your continued use of the Site or Services after any such changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

12. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. The failure of the Company to enforce any right or provision shall not constitute a waiver of such right.

Entire Agreement: These Terms, together with any separately executed agreements or statements of work, constitute the entire agreement between you and the Company regarding the Site and Services and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer these Terms without our prior written consent. The Company may assign these Terms without restriction.
